Terms and Conditions

These terms form an agreement between Ariqon Tech Private Limited and the diagnostic laboratory registering for the service. Where these terms say "you", they mean that laboratory. The person accepting them confirms they are authorised to bind the laboratory.

The platform is intended for diagnostic laboratories operating lawfully in India. To register you must provide accurate registration details, including your laboratory registration number, GST number where applicable, and the details and registration certificate of your registered pathologist.

Access is authenticated by a one-time password sent to your registered email address. You are responsible for keeping access to that mailbox secure, and for all activity carried out under your account.

New laboratories are reviewed before approval. Your account may be in a pending, submitted, under review, approved, suspended or deactivated state, and the features available to you depend on that state.

You may add team members and assign each of them a role with specific permissions. You are responsible for the permissions you grant, for removing access when someone leaves, and for their use of the platform.

Noline Lab lets your laboratory receive test orders from clinics and doctors, manage a catalogue of the tests you offer, track samples through collection and processing, upload and release reports, manage your team, and view analytics about your own activity.

• Noline Coins are the prepaid unit used to accept orders. One Noline Coin equals one Indian Rupee.
• Coins are deducted only when your laboratory accepts an order, never before.
• A laboratory test order costs 6 coins regardless of how many tests it contains. An imaging order costs 15 coins.
• New laboratories receive 1,000 coins on sign up.
• Coins have no cash value, are not transferable between accounts, and are not a deposit or a payment instrument.
• We may change coin rates on reasonable notice. Changes do not apply retrospectively to orders already accepted.

Coin purchases are final. Unused coins are non-refundable and cannot be exchanged for cash, transferred to another account, or redeemed for anything other than accepting orders on the platform.

This applies however your account ends, including where you close it yourself and where we suspend or deactivate it under section 13. Buy coins in the quantities your laboratory expects to use. Questions about a purchase: contact@noline.in.

Noline Lab is software. It is not a diagnostic service, it does not perform or interpret tests, and nothing it produces is medical advice.

• You are solely responsible for the clinical accuracy, validation, interpretation and authorisation of every report your laboratory issues through the platform.
• You are responsible for holding and maintaining the registrations, licences and accreditations your laboratory is required to hold, and for the accuracy of the details you give us about them.
• You are responsible for obtaining patient consent for the collection and processing of patient data, and for meeting your own obligations as a Data Fiduciary under the Digital Personal Data Protection Act 2023.
• You are responsible for the turnaround times, prices and service commitments you publish to clinics and patients through the platform.
• You must retain records for the periods applicable to diagnostic laboratories in India, independently of the platform.

You must not:

• Use the platform for any unlawful purpose, or to process data you are not entitled to process.
• Upload malicious code, or attempt to gain access to accounts, data or systems you are not authorised to access.
• Probe, scan or test the security of the platform without our prior written permission.
• Interfere with the operation of the service, or place unreasonable load on it.
• Resell, sublicense or provide the platform to a third party as your own service.
• Misrepresent your laboratory, its accreditations or the identity of your pathologist.

Our handling of personal data is described in our Privacy Policy. For patient data we act as a Data Processor on your instructions; you remain the Data Fiduciary. You must not upload personal data to the platform unless you are entitled to process it.

The platform, its software, design and documentation belong to Ariqon Tech Private Limited. These terms grant you a limited, non-exclusive, non-transferable right to use the platform for your own laboratory operations for as long as this agreement is in force, and nothing more.

Your laboratory data, including reports you generate, remains yours. You grant us the limited right to host and process it so that we can provide the service.

Coin purchases are payable in advance. Amounts are exclusive of applicable taxes, which are charged in addition at the prevailing rate. There is no subscription fee and no setup fee for the service as currently offered.

Payments are processed by Razorpay. Your card, UPI or net banking credentials are entered with Razorpay and are never received or stored by us. Razorpay's own terms apply to the payment itself. Coins are credited once Razorpay confirms the payment; see section 5 for the no-refund position.

The platform relies on third party infrastructure and services, listed in our Privacy Policy. Interruptions caused by those providers are outside our direct control, though we remain responsible for choosing them with reasonable care.

We aim to keep the platform available and to give reasonable notice of planned maintenance. We do not currently offer a contractual service level agreement or uptime commitment. If your laboratory requires one, contact us to discuss a separate agreement.

You may stop using the platform at any time. We may suspend or deactivate an account where we reasonably believe these terms have been breached, where required by law, where registration details are found to be inaccurate, or where continued use presents a risk to patients or to the platform.

Where circumstances allow, we will give notice and an opportunity to remedy the problem before suspending an account. On termination you may request an export of your laboratory data within a reasonable period.

The platform is provided on an "as is" basis. To the extent permitted by law we exclude implied warranties of merchantability and fitness for a particular purpose.

We are not liable for any loss arising from the clinical content of reports, from diagnostic decisions, or from your failure to meet a regulatory obligation. We are not liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.

Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud or for death or personal injury caused by negligence.

You agree to indemnify Ariqon Tech Private Limited against claims arising from your use of the platform in breach of these terms, from the clinical content of reports issued by your laboratory, or from your processing of patient data in breach of applicable law.

We may update these terms. Where a change materially affects your rights we will give reasonable notice through the platform or by email. Continuing to use the platform after a change takes effect means you accept it.

These terms are governed by the laws of India. The courts at Noida, Uttar Pradesh have exclusive jurisdiction over any dispute arising out of them.
